The Certificate of Good Standing generally sets forth the corporation's or LLC’s name; that it is duly incorporated or organized and authorized to transact business in that state; that all fees, taxes and/or any applicable penalties owed the state have been paid; that the company’s most recent annual report has been filed; and that articles of dissolution for the company have not been filed.

Q. Why would I need a certificate of good standing?

A certificate of good standing may also be used in order to prove that a company has come back into compliance with the state of formation or qualification. However, if your company has not fixed the issues that caused it to fall out of compliance, then obtaining this document will show that your company does exist but is considered "in bad standing" with the state.
